Terms and Conditions of Use Policy

Welcome to freestatesocialwork.com (the ‘Website’), a site developed and managed by Free State Social Work, LLC (‘FSSW’), a Kansas limited liability company, available via the Internet to the general public. This Website provides, among other information and data, access to content and programs relating to online continuing education programs for social workers. The Website and its contents and related services are owned by FSSW and/or its affiliates and licensors.

By accessing and/or using any of the services on the Website, or otherwise availing Yourself of the services and information offered through the Website, You – the ‘User’ – agree to be bound by these Terms and Conditions of Use Policy (hereinafter ‘TCU’) in effect at the time of each such access or other use of the Website. This TCU applies to all users of this Website, regardless of whether they are members or merely visitors, and applies to any and all entities or persons on whose behalf any User acts.  The TCU contains legally binding terms and restrictions on Your use of the Website and all of the content, applications and services offered from time to time by, on or through the Website (collectively the Website and all of its content, applications and services offered from time to time are referred to herein as the ‘Services‘).  By using any of the Services, You agree to be legally bound by the TCU and the Website Privacy Policy, which is incorporated herein by reference.  The TCU contains a binding arbitration provision, which may be enforced by the parties.

You acknowledge that FSSW may, from time to time, and in its sole discretion and without notification to You, modify the TCU.  Each and every access and/or use of this Website by You indicates Your agreement to be governed by the TCU. It is Your responsibility to determine whether there have been any such revisions or modifications each time You visit or use the Website.  If You do not agree with any such revision or modification, You are not authorized to access or use the Website in any manner.

I. OVERVIEW

FSSW is the provider of access to a Website containing testing materials for continuing education for social voices.  FSSW has created the Website to provide Users with online access to this information.

II. TERMS AND CONDITIONS

A. User to Provide Internet Access

In order to access the Website and/or use the Services, You must obtain access to the World Wide Web, either directly or through devices that access web-based content, and pay any service fees associated with such access. In addition, You must provide all equipment necessary to make such connection to the World Wide Web.

B. Registration and Eligibility; Website Intended for Adults

In order to become a member of the Website and user of the Services, You must register with FSSW and select a user name and password.  You agree to: (1) provide FSSW accurate and complete information about Yourself which is required to register or maintain Your membership account, (2) promptly notify FSSW of any changes to such registration information, (3) keep Your password secure and (4) be responsible for each and every access or use of the Services with Your user name and password.

Use of the Services is void where prohibited by law.  By using the Services, You are representing and warranting to FSSW that You (1) are 18 years of age or older, an emancipated minor, or possess legal parental or guardian consent, (2) are fully able and competent to enter into and abide by the TCU, and (3) are in fact the person You report to FSSW when establishing Your membership account and are not registering as the agent or representative of any other person, group or entity.  IF YOU ARE UNDER THE AGE OF 13, YOU ARE NOT AUTHORIZED OR INTENDED TO, AND SHOULD NOT, USE AND/OR VISIT THE WEBSITE OR ESTABLISH AN ACCOUNT.

C. Availability; No Guarantee of Access or Use

FSSW makes no guarantees regarding the availability of the Website or the Services (including the availability of any given Service). FSSW reserves the right, in its sole discretion, to discontinue the Website or Services and/or modify the contents of the Website or the terms of the Services as it sees fit, including but not limited to, the price for Services, descriptions, and other e-commerce related information and/or functionality.  You agree that FSSW will not be liable to You for any such discontinuance or modification of the Website or the Services.  YOU ACKNOWLEDGE THAT FSSW AND ITS WEBSITE HAVE NO DUTY OR OBLIGATION TO ARCHIVE, MAINTAIN OR PROVIDE YOU A COPY OF ANY OF YOUR INFORMATION THAT IS STORED ON THE WEBSITE AND THAT IT IS YOUR SOLE OBLIGATION TO RETAIN AND KEEP COPIES OF ANY OF YOUR INFORMATION IN THE EVENT THAT IT IS NO LONGER AVAILABLE ON THE WEBSITE FOR WHATEVER REASON.

D. Limited License; Authorized Use

FSSW grants You a limited revocable, non-exclusive, non-transferable, non-sublicensable license to access and make personal use of the Website for Your own purposes and uses that are legal and that are otherwise permitted by the TCU. You may only use the Services for the permitted uses described herein and as further limited by any FSSW policies or codes of conduct posted on the Website from time to time.  All other rights in and to the Website and Services (excluding Your information) are retained by FSSW.  Other than page caching and/or podcasts, You are not authorized to download or modify the Website or any portion of it, except with express, prior written consent of FSSW. This license does not include and specifically prohibits any resale or commercial use of this site or its contents; any derivative use of this site or its contents; any downloading or copying of account information for the benefit of another person or merchant; or any use of data mining, robots, or similar data gathering and extraction tools. You may not post or transmit through the Website any material that (i) violates or infringes in any way upon the rights of others, including intellectual property rights; and/or (ii) that is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law, or which contains advertising or any solicitation with respect to products or services. You are also prohibited from using the Website in any way that restricts or inhibits any other Website user from using or enjoying the Website consistent with the TCU.

If You fail to comply with any of provision of the TCU, FSSW can restrict, suspend or terminate Your membership account immediately.  Further, FSSW reserves the right to restrict, suspend or terminate Your membership account at any time, for any or no reason, with or without prior notice and without liability.

E. Linking (To & From) the Website to Third Party Sites; Advertisers

1. Linked-To Sites

FSSW may, from time to time, provide via the Website, links to other websites or resources and/or advertisements or other such promotional materials for third-parties. The links are for convenience purposes only, and because FSSW has no control over the content of linked-to sites or the quality of the goods or services offered via these linked-to sites, You acknowledge and agree that FSSW is not responsible for and in no way guarantees or endorses: (a) the availability of linked-to sites or resources; (b) the accuracy, value, or completeness of any content available at or through the linked-to sites; (c) the goods or services offered via these third-party sites.

Accordingly, You acknowledge and agree that FSSW shall not be responsible or liable to You in any manner, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on the content of any linked-to third-party websites and/or the quality of any goods or services offered by or through any linked-to third-party websites.

G. User Content: Prohibition against Harmful Transmissions & Appropriate Use of Website

You, as a User, agree You are responsible for all of Your information, communications and postings, and any other information You otherwise submit to or post on the Website (‘User Content’). You are solely responsible for Your User Content and its use on the Website.  You solely bear the cost and expense for creating backup copies and replacing any User Content You post or store on the Website. You agree that You will not upload, post, e-mail, or otherwise transmit to the Website or to any other User any messages, programs, or other materials (including, but not limited to, Trojan Horses, viruses, worms, and the like) that contain software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or telecommunications equipment or collect or mine information about this Website or other Users.  FSSW does not have an obligation to assess or guarantee the accuracy or appropriateness of the communications or postings of You or other Users, even if FSSW elects, in its sole discretion, to do so or to attempt to do so from time to time. You agree not to send communications or make postings that infringe upon or breach another party’s intellectual property rights (including, without limitation, their copyrights), contract rights or other rights. You agree not to send inappropriate communications or make inappropriate postings, including, but not limited to, communications and postings that are obscene, defamatory, threatening, harassing, abusive, hateful, or embarrassing to another User or any other person or entity, sexually-explicit, solicitations of business or any commercial initiative, chain letters or pyramid schemes. FSSW is not responsible for any User Content or actions or omissions in response to User Content.

You may not, and You agree that You will not, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of the Website. You may not violate or attempt to violate the security of the Website, including, without limitation, unauthorized access of data; circumventing authentication mechanisms; or interfering with the Website in any way. You may not use any engine, software, tool, agent or other device or mechanism (including but not limited to, browsers, spiders, avatars or BOTs/intelligent agents) to navigate or search the Website other than as provided through the Website and/or a standard third party browser (e.g., Netscape Navigator, Microsoft Explorer). FSSW reserves the right, without Your consent, to remove, refuse to accept or edit all user content that it determines, in its sole discretion, violates or may violate any provision of this Agreement or any of its other policies or codes of conduct, the intellectual or proprietary rights of any other person, business or entity, or is otherwise unacceptable to FSSW for any reason whatsoever.

H. Disclaimer of Warranties; Limitation Of Liability

THE WEBSITE AND SERVICES MAY BE TEMPORARILY UNAVAILABLE FROM TIME TO TIME FOR MAINTENANCE OR OTHER REASONS.  NEITHER FSSW NOR ANY OF ITS SERVICE PROVIDERS, INFORMATION PROVIDERS, LICENSORS, EMPLOYEES, OFFICERS, MANAGERS, MEMBERS, AGENTS OR ANY OF THEIR SUCCESSORS AND ASSIGNS (collectively the ‘FSSW PARTIES’) WARRANT THAT THE WEBSITE OR ITS SERVICES OR INFORMATION WILL MEET YOUR NEEDS OR BE UNINTERRUPTED OR ERROR FREE. YOU SHALL BEAR THE ENTIRE RISK AS TO THE QUALITY OF THE WEBSITE AND SERVICES OR THAT THEY WILL SATISFY YOUR NEEDS.

2. Limitation of Liability

NONE OF THE FSSW PARTIES SHALL HAVE ANY LIABILITY FOR INCIDENTAL, CONSEQUENTIAL, INDIRECT, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES SUFFERED BY YOU OR ANY OTHER PARTY ARISING OUT OF OR RELATED TO (A) YOUR USE OF THE WEBSITE OR ANY OF THE SERVICES, (B) THE OPERATION OR MALFUNCTION OF THE WEBSITE OR ANY OF THE SERVICES, OR (C) ARISING IN ANY WAY FROM OR RELATING TO YOUR PURCHASE OF FSSW SERVICES OR PRODUCTS VIA THE WEBSITE, AND, REGARDLESS OF WHETHER OR NOT SUCH PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES DESCRIBED IN (A) THROUGH (C) ABOVE, including but not limited to loss of revenue or profit, lost or damaged data or other commercial or economic loss RESULTING FROM ANY (a) ERRORS, MISTAKES, OR INACCURACIES IN the services, (b) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF the services, (c) ANY UNAUTHORIZED ACCESS TO OR USE OF FSSW’s SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN, (d) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR WEBSITE, (e) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH the WEBSITE BY ANY THIRD PARTY, (f) ANY ERRORS, OMISSIONS or inaccuracies IN ANY services OR (g) ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR UPLOADING, DOWNLOADING OR OTHER USE OF ANY user CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, even if FSSW has been advised of the possibility of such damages or they are foreseeable.

TO THE FULLEST EXTENT ALLOWED BY LAW, FSSW SHALL HAVE NO LIABILITY FOR UNAUTHORIZED THIRD-PARTY ACCESS TO OR ALTERATION, THEFT OR DESTRUCTION OF, ANY INFORMATION CONTAINED AT THE WEBSITE THROUGH ACCIDENT OR THROUGH FRAUDULENT OR WRONGFUL MEANS OR DEVICES. IN ANY EVENT, THE LIABILITY OF FSSW TO YOU OR ANY OTHER USER FOR ANY REASON AND UPON ANY CAUSE OF ACTION SHALL BE LIMITED TO AND SHALL IN NO EVENT EXCEED THE SUM OF THE GREATER OF: (A) ONE-HUNDRED DOLLARS ($120.00) OR, (B) IN THE EVENT THAT YOUR DISPUTE OR CLAIM ARISES FROM YOUR PURCHASE OF GOODS OR SERVICES VIA THE WEBSITE, THE COST OF SUCH DISPUTED GOODS OR SERVICES (I.E., THE AMOUNT YOU PAID TO FSSW FOR SUCH GOODS OR SERVICES). THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING, WITHOUT LIMITATION, BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATIONS, NON-INFRINGEMENT, AND OTHER CAUSES OF ACTION OR ALLEGATIONS.

NOTE: SOME JURISDICTIONS EITHER DO NOT ALLOW OR OTHERWISE LIMIT THE PERMISSIBLE SCOPE OF DISCLAIMERS AND LIMITATIONS SUCH AS THOSE APPEARING IN THE TWO PRECEDING PARAGRAPHS. ACCORDINGLY, SOME OF THE LIMITATIONS AND DISCLAIMERS APPEARING THEREIN MAY NOT APPLY TO YOU OR FULLY APPLY TO YOU.

I. Indemnification; Attorneys Fees

You hereby agree to indemnify, defend and hold harmless each and every one of the FSSW Parties from and against any and all causes of action, claims, costs, damages, losses and expenses, including, without limitation, reasonable attorneys’ fees, arising from or as a result of (1) Your breach of any provision of the TCU, including, without limitation, Your breach of representation, warranty, covenant or obligation under the TCU, specifically including, without limitation, Your breach as a result of Your infringement, misuse or misappropriation of any patent, copyright, trademark, trade name, service mark, trade secret, right to privacy, right to publicity, or any other intellectual property or proprietary right of another person, business or entity or (2) any claim that Your use of the Website or Services, including, without limitation, any of Your user content, caused damage to another person, business or entity for any reason whatsoever.  Your indemnification obligations under this paragraph will survive termination of the TCU for any reason.

If any of the FSSW Parties prevail against You, in whole or in part, in any action to enforce the provisions of the TCU, whether for injunctive relief or damages or both, then in addition to all other damages or relief, such FSSW Parties shall be also entitled to recover from You the costs and expenses incurred in the successful pursuit of such action or portion thereof, including reasonable attorneys’ fees.

J. Severability

In the event that one or more of the words, phrases, sentences, clauses, sections, subdivisions or subparagraphs contained herein shall be held invalid, the TCU shall be construed as if such invalid portion had not been inserted. In the event that any invalid language is severed under this paragraph, the severed language shall be comprised of the smallest unit possible such that the severance of the unit results in a valid provision (e.g., a single item in a list will be severed rather than the entire list, a clause will be severed rather than the entire sentence, etc.).

K. Entire Agreement

The TCU sets forth and contains the entire agreement with regard to the matters set forth herein between You and FSSW. There are no promises, terms, conditions, or obligations other than those contained herein. The TCU supersedes all previous communications, representations, or agreements, either verbal or written, between and among the parties with respect to the subject matter hereof (i.e., the FSSW Website and Services access and use).

L. Choice Of Law; Venue

The Website shall be deemed solely based in Kansas, and the Website shall be deemed a passive website that does not give rise to personal jurisdiction over FSSW or any of the FSSW Parties.  The Website and Services are controlled and offered by FSSW from its facilities in the USA.  FSSW makes no representations that it is appropriate or available for use in other locations.  Those who use the Services from other jurisdictions do so voluntary and are responsible for compliance with all applicable local and international laws.  Your agreement to be bound by the TCU is deemed to have been entered into in the State of Kansas and will governed by the laws of the State of Kansas, USA, without giving effect to its choice of laws provisions.  Any cause of action or other resolution of any dispute hereunder shall be subject to the exclusive jurisdiction and venue of the state and federal courts located in Johnson County, Kansas, USA.  By accessing and using the Website, You (and any person or entity on whose behalf You act) hereby submit to personal jurisdiction in Jackson County, Missouri in any action by or against You and waive and release now and forever any defense to that assertion of jurisdiction that might otherwise exist. You (and any person or entity on whose behalf You act) agree to service of process for any claim arising out of or related to this TCU via a national private carrier (e.g., FedEx, UPS), and hereby waive personal service.

M.  Dispute Resolution By Arbitration

Any dispute, controversy or claim arising out of or relating to the TCU, or any breach or threatened breach of the TCU, except as set forth below, shall be decided and settled by binding arbitration in accordance with Title 9 of the U.S. Code (United States Arbitration Act) and the Commercial Arbitration Rules of the American Arbitration Association then in effect, subject to the limitations and restrictions set forth below.  The place of arbitration shall be Kansas City, Missouri.  Notice of a demand for arbitration shall be filed in writing with the other party to the TCU and with the American Arbitration Association.  Notice of such demand shall be made promptly after such claim or dispute arises and in no event may the demand for arbitration be made if institution of legal or equitable proceedings arising out of such claims or dispute would be barred by the applicable statute of limitations.  The arbitrator(s) shall have the discretion to order a pre-hearing exchange of information by the parties, including, without limitation, production of requested documents, exchange of summaries of testimony of proposed witnesses, and examination by depositions of parties. In the event that the arbitrator(s) find that any provision of the TCU is vague or ambiguous, the parties agree that the arbitrator(s) shall construe such provision in accordance with the intent of the parties as determined by the arbitrator(s); and the arbitrator(s) shall not disregard or eliminate any such provision.  Notwithstanding any contrary provision contained herein, any party may in his, her or its sole discretion file an action with a court seeking equitable or injunctive relief to maintain the status quo until such time as the arbitration award is rendered or the controversy is otherwise resolved.  Each of the parties further agrees that, in addition to all other remedies, the arbitrator(s) shall be empowered to enforce the TCU by specific performance, injunction or other equitable remedy.  If an injunction or other equitable remedy is granted, the injured party hereby waives any right to require a bond, and if such a bond is required by law and may not be waived, hereby consents to the lowest bond amount allowed by law.  The award rendered by the arbitrator(s) may be entered and enforced in any court having competent jurisdiction.  Nothing contained herein shall apply to any claims between the parties arising out of proceedings, actions or claims filed by third parties, including but not limited to the parties’ respective rights for indemnification or contribution.

N. Term; Survival of Provisions

Except as otherwise provided herein, the rights and licenses granted to You under the TCU shall continue for as long as You use the Services; provided, however, it will terminate if You fail to comply with any of provision of the TCU.  FSSW reserves the right, in its sole discretion, to restrict, suspend or terminate Your access to and use of all or any part of the Services at any time, for any or no reason, with or without prior notice and without liability.  Upon termination of Your grant of rights or licenses hereunder for any reason, You will immediately cease using the Services, and FSSW may terminate Your membership account, user name and password, delete Your profile and any of Your User Content and disallow You access to any of Your User Content.  All disclaimers of warranties, limitations of liability, indemnification provisions and dispute resolution provisions, and any other provisions which by their nature would be deemed to survive, shall survive termination of the TCU for any reason.

O. Headings For Convenience Only

The paragraph and section headings used herein are for convenience only. The headings do not purport to define, limit, or extend the scope or intent of the language of the sections and the paragraphs to which they pertain.

P. Waiver

The waiver by one party of a breach of any provision of the TCU by the other party shall not operate or be construed as a waiver of any subsequent breach of the same or any other provision by the other party. The failure of a party at any time to require performance of any provision hereof shall in no manner affect its right at a later time to enforce the same.

Q. FSSW’s Ownership of Marks & Other Proprietary Material on the Website

Except for Your User Content (as defined above) or the User Content of any other User, all content, applications and information on the Website, including, without limitation, the text, software (including the source and object code), graphics, videos, photographs, logos, trademarks, service marks and music are owned or licensed for use by FSSW unless otherwise indicated.  All rights are reserved by FSSW, and except for Your own User Content that You legally submit to or post on the Website, no content, applications or information from the Website or Services may be modified, copied, distributed, reproduced, downloaded, disseminated, republished, transferred or sold in any form or by any means, except as permitted by the TCU or with the prior specific written consent of FSSW in each instance.  In the event of any permitted copying, redistribution or publication of copyrighted material, no changes in or deletion of author attribution, trademark or service mark legend or copyright notice shall be made. You acknowledge that You do not acquire any such ownership rights by downloading copyrighted material or otherwise using the Website. Without the owner’s prior written permission, You agree not to display or use in any manner (other than as set forth in the TCU), any trademarks, service marks or content found on the Website.  Copyright infringement is a violation of federal law subject to criminal and civil penalties.

R. Copyright Policy; Complaints Process

FSSW respects the rights of all copyright holders and accordingly has adopted a policy that provides for the removal of User Content that infringes upon the rights of copyright holders as further described below.

The Copyright Agent for notice of claims of copyright infringement on or regarding the Website can be reached by sending an email to the FSSW Copyright Agent at info@freestatesocialwork.com or in writing to Free State Social Work, LLC, PO Box 7803, Overland Park, KS 66207.

If You believe that Your protected work has been copied in a way that constitutes copyright infringement, please provide FSSW’s Copyright Agent the following information required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act:

(1)  A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

(2)  Identification of the copyright work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;

(3)  Identification of the User Content that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;

(4)  Information reasonably sufficient to permit FSSW to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;

(5)  A statement that the complaining party has a good faith belief that use of the User Content in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

(6)  A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.  To learn more, see 17 U.S.C. § 512.

Once You provide FSSW with an adequate notice as further described above, FSSW will take reasonable steps to promptly notify the other User of the alleged infringement.  If the other User does not believe it has infringed Your copyrights, then such User may provide FSSW with a counter notification containing the following information required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act:

(1)  The User’s physical or electronic signature;

(2)  Identification of the User Content that has been removed or to which access has been disabled and the location at which the User Content appeared before it was removed or access to it was disabled;

(3)  A statement under penalty of perjury that the User has a good faith belief that the User Content was removed or disabled as a result of mistake or misidentification.

(4)  The User’s name, address, and telephone number, and a statement that the User consents to the jurisdiction of Federal District Court for the judicial district in which the User’s address is located, or if the User’s address is outside of the United States, for any judicial district in which FSSW may be found, and that the User will accept service of process from the person who provided notification of the alleged infringement.

In the event that FSSW receives a counter notification in compliance with the above requirements, it will provide You with a copy of the counter notification and inform You that FSSW will replace the removed material in 10 business days from the date of the counter notification unless FSSW first receives notice from You that You have filed an action seeking a court order to restrain the User from engaging in the allegedly infringing activity of uploading the User Content to the Website.

FSSW is authorized to and will terminate Your membership name and password in the event that You are determined to be a repeat infringer.  PLEASE NOTE THAT FSSW INTENDS TO COMPLY WITH ALL PROVISIONS OF THE Digital Millennium Copyright Act BUT WILL NOT TAKE ANY RESPONSIBILITY FOR POLICING AND REMOVING USER CONTENT UNLESS FSSW POSSESSES ACTUAL OR APPARENT KNOWLEDGE OF INFRINGEMENT OR IS NOTIFIED AS DISCUSSED ABOVE.
